Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the services provided by Nevriq Technologies ("Nevriq," "we," "us," or "our"), including our AI consulting, product engineering, and related professional services. By engaging our services or accessing our website at nevriq.com, you agree to be bound by these Terms.
2. Scope of Services
Nevriq provides AI consulting and product engineering services, including but not limited to:
- AI/ML system design, development, and deployment
- Production AI readiness assessments
- AI agent and automation implementation
- Platform setup, evaluation harnesses, and monitoring systems
- Fractional AI leadership and advisory services
- Training and knowledge transfer
Specific deliverables, timelines, and pricing will be outlined in a separate Statement of Work ("SOW") or engagement agreement for each project.
3. Client Responsibilities
You agree to provide timely access to necessary systems, data, personnel, and information required for us to perform the services. You are responsible for ensuring you have the legal right to share any data or materials provided to us and for obtaining any necessary consents.
4. Intellectual Property
Client Materials: You retain all rights to materials, data, and content you provide to us.
Deliverables: Upon full payment, you will own all custom deliverables created specifically for you as outlined in the applicable SOW, excluding any pre-existing Nevriq tools, frameworks, or methodologies.
Nevriq IP: We retain ownership of our proprietary tools, templates, frameworks, and general knowledge gained through providing services. We may use anonymized learnings to improve our services.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the engagement. This includes business strategies, technical implementations, customer data, and any information marked as confidential. This obligation survives termination of services.
6. Payment Terms
Payment terms, including fees, milestones, and schedules, will be specified in the applicable SOW or engagement agreement. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.
7. Limitation of Liability
To the maximum extent permitted by law, Nevriq's total liability for any claims arising from or related to our services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.
8. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, express or implied. While we strive to deliver high-quality AI solutions, we do not guarantee specific business outcomes, as results depend on many factors outside our control, including data quality, market conditions, and implementation decisions made by you.
9. Indemnification
You agree to indemnify and hold Nevriq harmless from any claims, damages, or expenses arising from your use of the deliverables, your violation of these Terms, or your violation of any third-party rights.
10. Term and Termination
Either party may terminate an engagement with 30 days' written notice. You will be responsible for payment of all services rendered through the termination date. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
11. Data Protection and Privacy
We handle personal data in accordance with our Privacy Policy. We implement appropriate security measures to protect data during our engagements. For projects involving personal data, additional data processing terms may be required.
12. Modifications
We may update these Terms from time to time. Material changes will be communicated via our website or direct notice. Continued use of our services after changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
